Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the GrailNest website, applications, and services (collectively, the “Service”) operated by GrailNest (“GrailNest,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. By using the Service you represent that you meet this requirement and that the information you provide is accurate and complete.

2. Your Account

  • You register using an email address and password and must verify your email before full access is granted.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You must notify us promptly at support@grailnest.com of any unauthorized use.
  • You may close your account at any time; see the Privacy Policy for what happens to your data.

3. The Service

GrailNest is a platform for collectors to catalog items they own, track wishlist “grails,” follow store drops, organize hunts, and connect with other collectors and stores. Features may include collection management, a public “Digital Shelf,” grail alerts, store and drop discovery, trade interest signals, and gamification (XP, levels, achievements). We may add, change, or remove features at any time.

4. Your Content

You retain ownership of the content you submit, including item details, photos, descriptions, and profile information (“Your Content”). You grant GrailNest a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content solely to operate and improve the Service, and—where you make it public (e.g., a public shelf)—to display it to other users and visitors.

You represent that you have the rights to Your Content and that it does not infringe any third party’s rights or violate any law.

5. Acceptable Use

You agree not to:

  • Post unlawful, infringing, fraudulent, hateful, or sexually explicit content;
  • Misrepresent items, prices, conditions, or authenticity in listings, trades, or drops;
  • Scrape, crawl, or harvest data from the Service except as expressly permitted;
  • Interfere with, overload, or attempt to gain unauthorized access to the Service or other accounts;
  • Use the Service to send spam or unsolicited communications; or
  • Circumvent any access, rate, or feature limits.

6. Valuations, Pricing & Third-Party Data

The Service displays estimated values, market prices, and product information that may be aggregated from public store catalogs, third-party marketplaces (such as the eBay Browse API), and user input. These figures are estimates for informational purposes only, may be inaccurate or out of date, and do not constitute financial, investment, or appraisal advice. GrailNest is not a party to, and does not guarantee, any purchase, sale, trade, or drop between users or between users and stores.

7. Stores, Drops & Trades

Stores are independent third parties. Drops, waitlists, inventory, and fulfillment are controlled by the store, not by GrailNest. Trade interest expressed through the Service is a non-binding signal between users; GrailNest does not process payments for, escrow, or guarantee any trade. You transact with other users and stores at your own risk.

8. Subscriptions & Payments

Certain features may require a paid subscription (“Pro”). Paid plans are billed in advance through our payment processor on a recurring basis until cancelled. Fees are non-refundable except where required by law. We may change pricing on prospective notice. Failure to pay may result in downgrade or suspension of paid features.

9. Intellectual Property

The Service, including its software, design, logos, and trademarks, is owned by GrailNest and protected by intellectual property laws. Except for Your Content and rights expressly granted here, no rights are transferred to you. “GrailNest” and associated marks may not be used without our prior written permission.

10. Termination

We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (e.g., Content license for already-public content, disclaimers, limitations of liability, and indemnity) survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY OF VALUATIONS OR THIRD-PARTY DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAILNEST AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR COLLECTIBLE VALUE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

13. Indemnification

You agree to indemnify and hold harmless GrailNest from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or in-product). Your continued use after the changes take effect constitutes acceptance.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of [STATE], United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in [COUNTY/STATE], and you consent to their jurisdiction, except where prohibited by your local law.
